Seller Agreement

This Seller Agreement (“Agreement”) is entered into between ABCD Marketing LLC, a Missouri limited liability company operating as Peptide Stores Online (“Platform”), and the individual or entity completing seller onboarding (“Seller” or “Vendor”). The Platform is an affiliate marketplace and research library: it lists products offered by independent Vendors and links to each Vendor's own website, where all sales take place. By completing onboarding, the Seller agrees to this Agreement, the Terms of Service, the Research Use Policy, and the Privacy Policy, all incorporated herein.

Seller represents, warrants, and covenants that:

• Seller is lawfully incorporated or qualified to do business and has full authority to enter this Agreement.
• All products listed are legal to sell in the jurisdictions where Seller ships and are genuine research-use-only compounds, not controlled substances unless otherwise permitted by applicable law.
• Seller will not list syringes, needles, bacteriostatic water, or reconstitution supplies as standalone products.
• All product descriptions, images, and claims comply with the Research Use Policy and contain no human-use language, dosing instructions, or health claims.
• All listing information, prices, and availability Seller provides for the marketplace will be accurate and current.
• Seller will honour the terms, prices, shipping, and return policies Seller publishes on its own site for customers referred from the Platform.
• Seller holds all required business licences, permits, and registrations.
• Seller will maintain adequate product liability insurance (minimum $1,000,000 per occurrence) and will name the Platform as an additional insured upon request.

The Platform may automatically edit, rewrite, or reformat Seller's product titles, descriptions, images, and other listing content as reasonably necessary to comply with the Research Use Policy, applicable law, and platform compliance standards. This includes adding research-use-only framing and removing dosing instructions, human-use language, health claims, and prohibited items.

• The Platform will not change a product's identity, chemical classification, package quantity, or price without Seller's approval.
• Listings the Platform cannot confidently bring into compliance will be quarantined and withheld from publication until the issue is resolved.
• Seller grants the Platform a royalty-free, worldwide license to make these modifications and to display the modified content on the marketplace.

The Platform does not sell Seller's products and is not a party to any sale of them. The Platform does not take orders, run checkout, process payments, hold any purchase funds, or ship or fulfil any order. Every sale takes place on Seller's own website, under Seller's own terms, and payment for that sale is made to Seller on that site.

• Affiliate commissions: the Platform earns affiliate commissions on referred sales, as disclosed in the Terms of Service. Where Seller and the Platform have agreed an affiliate arrangement, Seller pays the Platform the commission set out in that arrangement for sales referred from the Platform. No commission is deducted by the Platform from a sale, because the Platform never receives sale proceeds.
• No payouts or reserves: the Platform makes no payouts to Seller from sales and holds no reserve against Seller's sales, because no sale money passes through the Platform.
• Chargebacks and refunds: Seller is solely responsible for chargebacks, refunds, and returns arising from sales on Seller's own site, under Seller's own terms and Seller's arrangements with its own payment processor.
• Reverse affiliate partners: where Seller takes part in the reverse affiliate program, commissions under that program are governed by that program's own terms, not by this Agreement.
• Commission changes: any change to an agreed affiliate commission is made under the affiliate arrangement between Seller and the Platform, not by deduction from sales.

The Platform does not order, perform, pay for, or verify lab tests, and it does not guarantee the purity or quality of any product. Vendors publish their own testing documents on their own sites.

• Seller is responsible for the accuracy of any testing document, lab result, or Certificate of Analysis Seller publishes on its own site or provides for a listing.
• Seller may not submit false lab reports, Certificates of Analysis, or test results, and may not represent any result as verified or endorsed by the Platform.
• Vendor ratings on the Platform are computed from public review evidence using the methodology published on the Platform. A rating is not a guarantee, and Seller may not pay to change a rating or to remove negative public evidence from a rating.
• A false or misleading testing document or listing may result in immediate listing suspension or removal pending investigation.

The natural person who executes this Agreement on behalf of a business entity personally and unconditionally guarantees the payment of any amounts Seller owes to the Platform under this Agreement or under an affiliate arrangement with the Platform, such as agreed affiliate commissions, independent of any corporate or LLC liability shield. Chargebacks, refunds, and returns on Seller's own site are Seller's obligations to its own customers and processor, not amounts owed to the Platform.

Seller agrees to defend, indemnify, and hold harmless the Platform and all Indemnified Parties (as defined in the Research Use Policy) from any claims, damages, losses, fines, penalties, or expenses (including attorneys’ fees) arising out of or relating to: (a) Seller’s products, listings, or fulfilment; (b) any personal injury, property damage, or regulatory violation arising from Seller’s products or Seller’s sales and fulfilment on its own site; (c) Seller’s breach of this Agreement; or (d) any third-party claim related to Seller’s storefront.

The Platform may terminate this Agreement immediately for cause (violation of the Research Use Policy, fraud, regulatory action, or any breach) or on 30 days’ notice without cause. Upon termination, the Platform will remove Seller's listings and links. The Platform holds no reserve or sale proceeds for Seller, so nothing is released on termination; any amounts owed under a separate affiliate arrangement are settled under that arrangement. Seller’s indemnification and guarantee obligations survive termination.

This Agreement is governed by the laws of the State of Missouri. Disputes are subject to the governing law and venue provisions stated in the Terms of Service.
